Legend Biotech Discloses Identification under the Holding Foreign Companies Accountable Act (HFCAA)
On April 13, 2022, pursuant to the Holding Foreign Companies Accountable Act (HFCAA), the U.S. Securities and Exchange Commission (the “SEC”) identified
Legend Biotech Corporation (the “Company”) as an issuer utilizing an auditor restricted from Public Company Accounting Oversight Board (PCAOB) inspection. This was anticipated by the Company and comes after the Company’s filing of its annual report
on Form 20-F with the SEC on March 31, 2022. This identification does not mean the Company’s American depositary shares, which are currently traded on the Nasdaq Global Select Market, will be de-listed from Nasdaq. Delisting under the HFCAA could
occur if the Company’s auditor cannot be inspected by the PCAOB for three consecutive years. There is, in addition, pending legislation to shorten that period from three to two years. The Company is currently monitoring market developments and
evaluating measures to meet HFCAA requirements prior to this deadline.
This Form 6-K (other than Exhibit 99.1 hereto) is incorporated by reference into the Company’s Registration Statements on Form F-3 (File Nos. 333-257625 and
333-257609) and Form S-8 (File No. 333-239478).
